PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCESSING OR USING BAMBOO CARD’S SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. Introduction and Parties

These Terms and Conditions ("Terms") constitute a legally binding agreement between Bamboo Electronic Cards Trading LLC, a company incorporated and registered in Dubai, United Arab Emirates, trading as Bamboo Card ("Bamboo Card", "we", "our", or "us"), and you, the individual, business entity, or developer ("User", "you", or "your") accessing or using our website at www.bamboo-card.com, our self-service portal, our API, our Mini App, our White Label SDK, or any related services (collectively, the "Services").

These Terms govern all use of our Services regardless of the access method. Where a separate written agreement exists between Bamboo Card and a business client, that agreement shall take precedence over these Terms to the extent of any inconsistency.

2. Definitions

API — Bamboo Card’s application programming interface enabling programmatic access to the gift card catalogue and order processing functionality.

Catalogue — The collection of digital gift cards, prepaid products, and other digital rewards available through the Services at any given time.

Digital Gift Card — An electronic voucher or code issued by a brand partner that may be redeemed for goods, services, or value with the issuing brand.

Portal — The secure self-service web interface through which authorised business users can purchase and manage digital gift cards.

SDK — The software development kit enabling third-party platforms to embed Bamboo Card functionality under their own brand.

Mini App — The embeddable application module enabling third-party platforms to offer the Bamboo Card catalogue within their own product environment.

Wallet — The pre-funded account balance maintained within the Bamboo Card platform from which orders are deducted.

Brand Partner — A retailer, brand, or issuer whose digital gift cards are available in the Catalogue.

API Key — The unique credential issued to an API integration partner to authenticate API requests.

Order — A completed transaction for the purchase and delivery of one or more digital gift cards through the Services.

Business Days — Monday to Friday, excluding UAE public holidays.

3. Eligibility

Access to and use of the Services is subject to the following eligibility requirements:

You must be at least eighteen (18) years of age.

If accessing on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms.

You must not be located in, incorporated in, or a national or resident of any jurisdiction subject to UAE, UN, US OFAC, EU, or UK financial sanctions or trade restrictions.

You must not be included on any applicable sanctions list or designated as a prohibited person or entity.

You must have the legal capacity to enter into binding contracts under the laws of your jurisdiction.

We reserve the right to verify eligibility at any time and to suspend or terminate access where eligibility requirements are not met.

4. Account Registration and Security

Certain features of the Services require account registration. By registering:

You agree to provide accurate, current, and complete information and to maintain and update that information promptly.

You are solely responsible for maintaining the confidentiality of your login credentials, including your password and API Key.

You are responsible for all activity that occurs under your account, whether or not authorised by you.

You must notify us immediately at support@bamboo-card.com if you suspect any unauthorised access to your account or API Key.

We reserve the right to suspend or terminate your account if we have reasonable grounds to believe your credentials have been compromised or misused.

We will never request your password via email or telephone. Any such request should be reported to us immediately.

5. Use of Services

5.1 Permitted Use

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes or as expressly permitted under a separate agreement with Bamboo Card.

5.2 Prohibited Conduct

You must not use the Services for any of the following purposes: reselling, redistributing, or commercialising any element of the Services without prior written authorisation from Bamboo Card; engaging in or facilitating money laundering, terrorist financing, fraud, or any other financial crime; purchasing gift cards using stolen, fraudulent, or unauthorised payment methods; exploiting pricing errors, technical vulnerabilities, or system loopholes; attempting to reverse-engineer, decompile, disassemble, or create derivative works from any element of the Services or API; scraping, crawling, or harvesting data from the platform using automated means not authorised in writing; uploading malicious code, viruses, or other harmful software to the platform; circumventing or interfering with any security, access control, or rate-limiting mechanism; impersonating any person, entity, or Bamboo Card employee or representative; or using the Services in violation of any applicable law, regulation, or these Terms.

Bamboo Card reserves the right to investigate suspected violations and to cooperate with law enforcement and regulatory authorities where required.

6. Gift Card Usage Terms

6.1 Nature of Digital Gift Cards

Digital gift cards available through the Services are issued by the respective brand partners and are subject to the terms and conditions of those brand partners. Bamboo Card acts as a distributor and does not issue, honour, or redeem gift cards directly unless expressly stated otherwise.

6.2 No Refunds or Returns

All digital gift card transactions are final. Bamboo Card does not accept returns, offer refunds, or provide cash redemptions on digital gift cards once an order has been processed and the gift card code has been delivered. This policy applies regardless of the reason for the return request, except where required by mandatory applicable law.

6.3 Delivery and Validity

Digital gift cards are delivered electronically to the designated recipient or system endpoint upon order confirmation. Bamboo Card processes 95% of orders within 2 seconds. Where delivery is delayed due to circumstances outside our control, we will notify you promptly. Gift cards may carry expiry dates set by the issuing brand partner. Bamboo Card is not responsible for the expiry of gift cards following delivery to you. Gift card denominations, availability, and brand terms are subject to change by brand partners and Bamboo Card does not warrant the continued availability of any particular brand or denomination.

6.4 Failed Deliveries

In the event of a failed delivery attributable to Bamboo Card’s systems, we will use commercially reasonable efforts to re-deliver or, where re-delivery is not possible, to credit your Wallet for the value of the failed order. Claims for failed deliveries must be raised within seven (7) Business Days of the order date.

7. Payment and Wallet Terms

The Bamboo Card Portal operates on a pre-funded Wallet model. Orders are deducted from your Wallet balance at the time of purchase.

Wallet top-ups are processed by our payment service providers and are subject to their terms of service.

Wallet balances are held in the currency specified at account setup. Currency conversion charges may apply where applicable.

Wallet balances do not earn interest and are not protected deposits under UAE banking law.

Bamboo Card reserves the right to withhold Wallet funds where fraud, misuse, or a legal obligation requires it.

Refund of unused Wallet balances upon account closure is subject to identity verification and applicable AML/CFT checks and is at Bamboo Card’s reasonable discretion.

8. API Usage Terms

This section applies to partners and developers accessing the Services through the Bamboo Card API.

API Key Confidentiality: Your API Key is confidential. You must not share, publish, or expose your API Key in publicly accessible code repositories, client-side code, or any other insecure medium.

Rate Limits: API usage is subject to rate limits specified in the API documentation. Exceeding rate limits may result in temporary suspension of API access without notice.

Sandbox Environment: Sandbox credentials are provided for testing purposes only and must not be used in production environments. Bamboo Card makes no warranties regarding sandbox data accuracy or completeness.

Permitted Use: The API may only be used for the purposes agreed in your integration agreement. Access to data beyond your authorised scope is prohibited.

Version Support: Bamboo Card reserves the right to deprecate API versions with reasonable notice prior to deprecation of any supported version.

Security Obligations: API integration partners must implement appropriate security controls to prevent unauthorised use of their API Key or access to Bamboo Card data through their systems.

9. Intellectual Property

All intellectual property rights in and to the Services, including the website, platform, API, software, catalogues, brand assets, documentation, and all underlying technology (collectively, "Bamboo Card IP"), are and shall remain the exclusive property of Bamboo Electronic Cards Trading LLC and its licensors.

Nothing in these Terms grants you any ownership interest or licence in Bamboo Card IP beyond the limited right of use set out in Section 5.1. You must not remove, obscure, or alter any proprietary notices on any Bamboo Card materials.

You retain ownership of any data, content, or materials you provide through the Services. By providing such materials, you grant Bamboo Card a non-exclusive, royalty-free licence to use them solely to the extent necessary to provide the Services.

10. Confidentiality

Each party may disclose or make available confidential or proprietary information in connection with these Terms. Each party agrees to: (a) keep all such information in strict confidence; (b) not disclose it to any third party without prior written consent; and (c) use it solely for performing obligations or exercising rights under these Terms.

This obligation does not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law, regulation, or court order, provided that prompt written notice is given to the disclosing party where legally permissible.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

No Consequential Damages: Bamboo Card shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational damage, arising out of or in connection with the Services, even if advised of the possibility of such damages.

Cap on Direct Liability: Bamboo Card’s total aggregate liability to you for all claims arising out of or in connection with these Terms shall not exceed the greater of: (a) the total fees paid by you to Bamboo Card in the three (3) months immediately preceding the event giving rise to the claim; or (b) AED 10,000.

Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under mandatory applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Bamboo Card, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: your use of the Services in violation of these Terms; your breach of any representation, warranty, or obligation under these Terms; your infringement of any third-party intellectual property, privacy, or other rights; any content, data, or materials you submit through the Services; and your violation of any applicable law or regulation.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED OPERATION. Bamboo Card does not warrant that the Services will meet your specific requirements, that the Catalogue will contain any particular brand or denomination at any given time, or that errors will be corrected within any specific timeframe.

14. Force Majeure

Bamboo Card shall not be liable for any failure or delay in performance of its obligations to the extent caused by circumstances beyond our reasonable control, including acts of God, government action, war, terrorism, pandemic, civil unrest, fire, flood, power outages, telecommunications failures, cyberattacks, or failure of third-party service providers critical to our infrastructure.

15. Suspension and Termination

15.1 Suspension

Bamboo Card may suspend your access to the Services with immediate effect and without prior notice where: (a) we have reasonable grounds to suspect fraud, money laundering, or other illegal activity; (b) you have materially breached these Terms; or (c) suspension is required by applicable law or regulatory direction.

15.2 Termination

Either party may terminate these Terms on written notice. Bamboo Card may terminate your account immediately for a material breach incapable of remedy, or within fourteen (14) days if you fail to remedy a remediable breach within that period following written notice.

15.3 Effect of Termination

Upon termination: (a) your right to access the Services ceases immediately; (b) any outstanding Wallet balance will be handled in accordance with Section 7; (c) Sections 9, 10, 11, 12, and 16 survive termination indefinitely.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, including applicable federal laws and the laws of the Emirate of Dubai.

Any dispute arising out of or in connection with these Terms shall first be subject to good faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute. If the dispute remains unresolved following that period, it shall be submitted to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates (mainland Dubai Courts). The parties irrevocably waive any objection to the laying of venue in, or the convenience of, those courts.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bamboo Card regarding the Services and supersede all prior agreements and understandings.

Severability: If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and remaining provisions continue in full force.

Waiver: Failure by Bamboo Card to enforce any provision shall not constitute a waiver of that provision or any other provision.

Assignment: Bamboo Card may assign or transfer its rights or obligations without your consent. You may not assign or transfer your rights or obligations without our prior written consent.

Variation: Bamboo Card reserves the right to modify these Terms at any time. Material changes will be communicated with thirty (30) days’ notice. Continued use of the Services after that notice period constitutes acceptance of the modified Terms.

Notices: Notices to Bamboo Card should be sent to legal@bamboo-card.com. Notices to you will be sent to the email address registered to your account.

Language: These Terms are executed in the English language. In the event of any inconsistency between an English version and any translated version, the English version shall prevail.
